These Terms of Use (the "Terms") govern your access to and use of www.dsonix.com (the "Website"), operated by DSONIX Technology ("DSONIX", "we", "us" or "our"). Please read them carefully.

1. Acceptance of These Terms

By accessing or using the Website you agree to these Terms and to our Privacy Policy and Cookie Policy. If you do not agree, please do not use the Website. If you use the Website on behalf of an organisation, you confirm that you are authorised to accept these Terms for it.

2. Who We Are

3. The Website Is for Information Only

  • The Website describes our business, services, products and career opportunities. It does not sell anything, take payments or provide user accounts.
  • Nothing on the Website (including service descriptions, process descriptions, timelines, "starting from" figures, response times or statements about quality or outcomes) is an offer, quotation, warranty or contract. Submitting the contact form or messaging us does not create a contract or any obligation on either side.
  • We provide services only under a separate written agreement, statement of work or proposal signed or expressly accepted by both parties (a "Client Agreement"). The Client Agreement alone governs scope, deliverables, fees, payment, intellectual property, confidentiality, warranties and liability for that engagement, and it prevails over anything on the Website or in these Terms.
  • Job listings are invitations to apply, not offers of employment. Any employment or internship is subject to a written offer letter.

4. Accuracy and No Warranty

We try to keep the Website accurate and up to date, but it is provided "as is" and "as available". To the maximum extent permitted by law, we make no warranties or representations, express or implied, that the Website or its content is accurate, complete, current, uninterrupted, error-free, secure or free of viruses, or fit for any particular purpose. We may change, suspend or remove any part of the Website at any time without notice.

5. Case Studies, Blog Posts and General Information

Case studies, portfolio pages, blog posts, statistics and similar content are general information about our work and the technology industry. Some examples may be illustrative, simplified, anonymised or combined to protect client confidentiality, and past results do not guarantee future results. This content is not professional, technical, legal, financial or investment advice, and you should not rely on it without taking advice specific to your situation.

6. Products and Forward-Looking Statements

The Website describes products built by DSONIX, including SHUTL, 4 Moves and Edu-Bridge. Products or features marked "coming soon", "planned", "in development" or similar, and any statements about future availability, features, platforms, pricing or timelines, are current intentions only. They may change, be delayed or be cancelled without notice, and you should not rely on them in making any decision. Use of each product is governed by the terms and privacy policy published on that product's own website or app store listing, not by these Terms.

7. Intellectual Property

The Website and its content (including text, graphics, designs, images, code and layout) and the names and logos DSONIX, DSONIX Technology, SHUTL, 4 Moves and Edu-Bridge are owned by or licensed to DSONIX Technology and are protected by Indian and international intellectual property laws. Third-party names and logos belong to their respective owners and are used only for identification.

We grant you a limited, personal, non-exclusive, non-transferable and revocable licence to view the Website and to print or save a reasonable number of pages for your own non-commercial reference, provided you keep all copyright and other notices. You may not otherwise copy, reproduce, modify, republish, distribute, sell, frame or create derivative works from the Website or use our names or logos without our prior written permission. All rights not expressly granted are reserved.

8. Acceptable Use

You agree not to:

  • use the Website in any way that breaks any law, including the Information Technology Act, 2000;
  • scrape, crawl, harvest or systematically extract content or contact details from the Website by automated means (other than standard search-engine indexing that respects our robots settings), or use it to train or build a competing dataset;
  • attempt to gain unauthorised access to the Website, its server or any connected system, probe or test its vulnerabilities, or interfere with its operation (for example with viruses, denial-of-service attacks or excessive requests);
  • use the contact form, email or WhatsApp links to send spam, bulk or unsolicited commercial messages, malicious links or files, or abusive, defamatory, obscene or unlawful content;
  • submit false information, impersonate any person or organisation, or submit someone else's personal data without their permission; or
  • misrepresent any relationship with or endorsement by DSONIX.

We may block access, discard messages and report unlawful activity to the appropriate authorities.

9. Third-Party Links and Services

The Website links to websites and services we do not control, including our product websites (shutl.in, play4moves.in, edu-bridge.in), WhatsApp, LinkedIn, GitHub, X/Twitter, and it uses Google Fonts and Web3Forms to function. Those websites and services are governed by their own terms and privacy policies. We are not responsible for their content, availability or practices, and a link is not an endorsement.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

  • we will not be liable for any indirect, incidental, special, consequential, exemplary or punitive loss or damage, or for any loss of profit, revenue, business, opportunity, goodwill or data, arising from or related to the Website, even if we were told it was possible;
  • we will not be liable for any loss arising from your reliance on content on the Website, from third-party websites or services, or from events described in Section 13; and
  • because the Website is provided free of charge, our total aggregate liability to you for all claims arising from or related to your use of the Website is limited to INR 1,000 (Indian Rupees one thousand).

This section applies only to use of the Website. Liability for services we provide is governed exclusively by the relevant Client Agreement. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under Indian law, including liability for fraud.

11. Indemnity

You agree to indemnify and hold harmless DSONIX Technology and its owners, employees and contractors from any claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Website, or your violation of any law or the rights of any third party.

12. Privacy

Our Privacy Policy explains how we handle personal data you send us through the Website.

13. Force Majeure

We are not responsible for any failure or delay in making the Website available, or in responding to messages, caused by events beyond our reasonable control, including natural disasters, epidemics, war, terrorism, riots, government action, power or internet failures, failures of hosting or third-party service providers, and cyber-attacks.

14. General

  • Entire agreement: These Terms, together with our Privacy Policy and Cookie Policy, are the entire agreement between you and us about your use of the Website. They do not replace or amend any Client Agreement.
  • Severability: If any provision is found invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will continue in full force.
  • No waiver: Our failure or delay in enforcing any right is not a waiver of that right.
  • Assignment: We may transfer our rights and obligations under these Terms. You may not transfer yours without our written consent.
  • Survival: Sections 7, 10, 11, 14 and 15 survive any end of your use of the Website.

15. Governing Law and Dispute Resolution

  • Governing law: These Terms and any dispute arising from or relating to them or the Website are governed by the laws of India.
  • Notice and negotiation: Before starting any proceedings, the party raising a dispute must send the other a written notice describing it in reasonable detail (to us at info@dsonix.com). Both parties will then try in good faith to resolve it by negotiation for 30 days from receipt of that notice.
  • Arbitration: Any dispute not resolved within those 30 days will be finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by mutual agreement or, failing agreement, in accordance with that Act. The seat and venue of arbitration will be Greater Noida, Gautam Buddh Nagar district, Uttar Pradesh, India. The arbitration will be conducted in English, and hearings may be held online if both parties agree. The award will be final and binding.
  • Courts: Subject to the arbitration clause above, the courts at Gautam Buddh Nagar, Uttar Pradesh, India have exclusive jurisdiction, including for interim relief and for matters relating to the arbitration.

16. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a new "Last updated" date and applies from that date. Your continued use of the Website after that means you accept the updated Terms.
